Texas National Bank To Acquire Citizens State Bank, Roma, Texas

McAllen, Texas- TNB Bancshares, Inc, the holding company for Texas National Bank (“TNB”),
announced today that it has entered into a definitive agreement to acquire Citizens State Bank,
Roma, Texas.

Citizens State Bank is a full-service bank with locations in Roma, Texas and Rio Grande City,
Texas, with more than $78 million in total assets. This transaction aligns with Texas National
Bank’s expansion plans into Starr County. The combined company will have approximately
$1.1 billion in assets with 12 branches across Hidalgo, Cameron and Starr Counties in Texas.

The transaction has been unanimously approved by the Boards of Directors of both companies.
It remains subject to customary shareholder and regulatory approvals and is expected to close
in the fourth quarter of 2025.

As a CSB customer, who will be taking care of my banking business?
Will any phone numbers change regarding who I contact for my account information.
For the time being you will be conducting your banking business with the same team of Friendly bankers in the Roma and Rio Grande City Locations.
The phone numbers for customer service questions will remain the same.

Can I conduct banking transactions at any Texas National Bank?
Our plans to merge will not take place until March 2026 at which time you will be able to conduct your banking transactions at any of our 9 locations
reaching from Brownsville, Texas to Mission, Texas.

As a CSB customer, Do I need to make any changes to my banking?
You can continue banking as usual, using the same online banking and mobile banking, debit cards, checks, and other services.
We will communicate well in advance of the merger of our banking offices in 2026,
at which time you’ll have access to more services and more banking offices in East and Southeast Texas to conduct business.

When can CSB customers start making deposits and withdrawals at TNB locations?
CSB customers can begin making deposits and withdrawals once the merger takes place in 2026.

When will CSB customers be able to start using TNB ATM’s at no charge?
Once the merger takes place in 2026 CSB customers will be able to use TNB ATMs’ at no charge.

Will my account number / routing number change?
No, your account and routing numbers will remain the same for the time being.
If they do change you will be notified in advance before any change takes effect.

Can I still use my check stock?
Yes, you can still use your CSB Check stock.

When will I receive a new Debit card?  Will my Debit card number remain same?
You will be using your CSB Debit Card and card number until the merger in 2026 takes place.
If new debit cards need to be distributed, you will be notified in advance of any changes.

Will my ACH’s (auto debits) still work as scheduled or do I need TNB to send out notifications?
There will be no change to your account’s auto debits until the merger takes place in 2026.

Will my ACH’s (auto debits) be returned since it will be a new bank name?
Your auto debits will not be affected and will continue as normal.

Will I still have access to account history information after the “computer conversion”?
For the time being you will still have access to your account information.
Once the merger takes place, we will notify you if your account history access will change.

Will I have different bank fees to those I currently pay?
Your current banking fees will remain the same until we complete the merge of CSB with TNB.
Once we get closer to that date, we will make sure to notify you of the changes you can expect.
